Terms of Service

1. Introduction and Acceptance

These Terms of Service ("Terms") govern your access to and use of ConnectLink ("the Service"), operated by xLabs Solutions LLC ("xLabs," "we," "us," or "our"). By creating an account, accessing the Service, or using any ConnectLink features, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

These Terms constitute a legally binding agreement between you and xLabs Solutions. If you are using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

2. Eligibility

You must be at least 18 years of age and have the legal capacity to enter into binding agreements in your jurisdiction to use the Service. By using ConnectLink, you represent and warrant that you meet these requirements. The Service is primarily intended for businesses, agencies, and professionals.

3. Description of the Service

ConnectLink is a client-onboarding and asset-delegation platform for digital marketing agencies. The Service enables agencies ("Agency Users") to request and receive access to their clients' ("Client Users") advertising accounts, business pages, catalogs, and related digital marketing assets on supported third-party platforms (such as Meta, Google, and others) through guided, platform-native OAuth authorization flows.

ConnectLink acts as a facilitator. It does not directly access, manage, or control advertising campaigns or content on third-party platforms. ConnectLink coordinates the authorization and delegation of access between parties using the official APIs provided by each platform.

4. Account Responsibilities

  • You must provide accurate, current, and complete information during registration and keep your account information up to date.
  • You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
  • You must notify us immediately of any unauthorized use of your account or any security breach.
  • You may not share your account credentials with unauthorized parties or use another user's account without permission.

5. Fees, Payment, and Pricing

  • ConnectLink is offered on a paid basis, including per-link and other pricing models. Current pricing and plan details are available on our Pricing page and presented at the time of purchase or signup.
  • Paid features are billed on a per-link or subscription basis as specified at the time of purchase.
  • All payments are processed securely through Stripe. We do not store full payment card numbers on our systems.
  • Prices are listed in USD. Applicable taxes will be added at checkout where required by law.
  • We reserve the right to change our pricing with at least 30 days' written notice. Price changes will not affect links or subscriptions already purchased.
  • All fees are non-refundable unless otherwise stated in writing or required by applicable law.

6. Acceptable Use

You agree not to:

  • Use the Service for any unlawful, fraudulent, or deceptive purpose.
  • Attempt to gain unauthorized access to any accounts, systems, or networks connected to the Service.
  • Use the Service to send unsolicited messages, spam, or harass any person.
  • Misrepresent your identity, authority, or your right to request access to another party's assets.
  • Use the Service in a manner that violates any third-party platform's terms of service, policies, or developer agreements.
  • Reverse engineer, decompile, or disassemble any part of the Service.
  • Interfere with or disrupt the integrity, security, or performance of the Service.
  • Use automated means (bots, scrapers, or similar tools) to access the Service without prior written authorization.

7. Third-Party Platforms and Dependencies

ConnectLink integrates with third-party platforms including, but not limited to, Meta (Facebook, Instagram) and Google (Google Ads, Google Analytics, Google Tag Manager). Your use of ConnectLink to connect with these platforms is also subject to each platform's own terms of service, privacy policies, and developer policies.

We do not guarantee the continued availability or compatibility of any third-party platform integration. Third-party platforms may change their APIs, policies, or access requirements at any time, which may affect the functionality of the Service. We are not responsible for any actions taken by third-party platforms, including access revocations, account suspensions, or policy enforcement actions.

8. Customer Responsibilities

As an Agency User, you are responsible for ensuring that you have the appropriate authorization from your clients before requesting access to their accounts or assets. You must clearly communicate to your clients what access you are requesting and for what purpose.

As a Client User, you are responsible for reviewing the access being requested before granting authorization. Once you authorize access through a platform-native OAuth flow, you are responsible for managing that access through the platform's own tools if you wish to modify or revoke it.

9. Privacy

Our collection, use, and handling of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

10. Intellectual Property

The Service, including its design, code, documentation, branding, and all associated intellectual property, is owned by xLabs Solutions and is protected by applicable copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service solely for its intended purpose in accordance with these Terms.

You retain ownership of any data you provide to the Service. By using the Service, you grant us a limited license to process your data solely for the purpose of providing the Service.

11. Suspension and Termination

You may close your account at any time by contacting us. We may suspend or terminate your account if we reasonably believe you have violated these Terms, engaged in fraudulent activity, or if your use poses a risk to the Service, other users, or third-party platforms.

Upon termination, your right to use the Service ceases immediately. Access permissions that were previously granted through ConnectLink on third-party platforms persist independently on those platforms and must be managed directly through the platform's tools.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

ConnectLink facilitates access requests through third-party platform APIs. We do not guarantee the accuracy, availability, or performance of those platforms, nor do we control the actions taken on those platforms after access has been granted.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, XLABS SOLUTIONS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

14. Indemnification

You agree to indemnify, defend, and hold harmless xLabs Solutions and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any rights of a third party; or (d) your misrepresentation of your authority to request access on behalf of another party.

15. Changes to the Service and Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email or through the Service. Your continued use of the Service after the revised Terms become effective constitutes your acceptance of the changes.

We reserve the right to modify, suspend, or discontinue any feature or aspect of the Service at any time with reasonable notice. We are not liable to you or any third party for any modification, suspension, or discontinuation of the Service.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of laws provisions. Any disputes arising from these Terms or the Service shall be resolved in the state or federal courts located in Miami-Dade County, Florida.
